      Scope downgrades class A notes issued by Maior SPV S.r.l. - Italian NPL ABS

      Scope downgrades the class A notes issued by Maior SPV S.r.l., a static cash securitisation of Italian non-performing loan receivables, following a monitoring review.

      Rating action

      Scope Ratings GmbH (Scope) has completed a monitoring review of the following notes issued by Maior SPV S.r.l.:

      Class A (ISIN IT0005341125): EUR 261.5m: downgraded to BBSF from BBB-SF

      Class B (ISINIT0005341133): EUR 60.0m: not rated

      Class J (ISINIT0005341141): EUR 26.9m: not rated


      Scope’s review was based on servicer, investor and payment reporting as of January 2024 payment date.

      Transaction overview

      Maior SPV S.r.l. is a static cash securitisation of a EUR 2.7bn portfolio by original gross book value (GBV) at closing of Italian non-performing loans originated by Unione di Banche Italiane S.p.A and IW Bank S.p.A. and serviced by Prelios Credit Servicing S.p.A. The transaction was closed on 1 August 2018. Scope does not rate class B and class J notes.

      As of the January 2024 payment date, aggregate gross collections stood at EUR 519.2m, representing 59.8% of the original business plan expectations up to such date. The sources of total gross collections are judicial proceeds (59.2%), discounted pay-off (DPO) proceeds (24.1%), credit sales proceeds (13.0%) and other sources of collections (3.7%).

      Around 50.3% of gross collections (EUR 261.4m) stems from open debtors (i.e., debtors for which the recovery process is still ongoing), while closed debtors account for 49.7% of gross collections (EUR 257.8m). According to Scope’s analysis, closed debtors account for around 26.1% of the transaction’s initial GBV.

      The last business plan (updated in 2023) reports a lifetime expected gross recoveries which are 22.8% lower than the original business plan forecast with a weighted average life of 4.5 years. The net present value cumulative profitability ratio, computed for closed positions, stands at 100.5%, while the cumulative collection ratio stands at 57.4%, which is below the 90% threshold resulting in a continuation of class B interest subordination to class A principal repayment since January 2022 payment date.

      Rating rationale

      The review addressed i) the collateral’s observed performance as of the January 2024 payment date; ii) Scope’s forward-looking assumptions, which incorporate expected macroeconomic changes over the transaction’s remaining life; iii) updates to the transaction’s liability structure, liquidity and interest rate hedging; and iv) the issuer’s exposure to key transaction counterparties.

      Key rating drivers

      Key rating drivers continue to be aligned with those disclosed on our previous rating action release dated August 1, 2018. However, particular concerns which have mainly driven the downgrade are the persistence of very weak profitability and the pace of collections which is well below Scope’s initial expectations.

      Cumulative net collections (negative)1. Aggregate collections to date are 35.5% behind Scope’s expectations under the B case scenario. This has resulted in a much slower amortization of the senior notes than expected by Scope.

      Profitability (negative)1. Based on Scope calculations, profitability on secured closed positions is 24.0% below Scope’s expectation under the B case assumptions at closing. Observed profitability on secured closed positions is also significantly below average compared with other Italian NPL transactions. Low profitability on closed positions is consistent with discounts observed on collateral sales data. Scope observed an average discount of approximately 48% on reconciled residential properties sold.

      Rating-change drivers

      Positive. Strong servicer improvement in terms of pace of collections and secured profitability could positively impact the rating.

      Negative. Continuous underperformance in profitability and pace of collections could negatively impact the rating.

      Quantitative analysis and assumptions

      Scope analysed cash flows reflecting the transaction’s structural features to calculate each tranche’s expected loss and weighted average life. Scope analysed the assets to produce a rating-conditional cash flow projection of gross recoveries for the portfolio of defaulted loans.

      Scope has updated its modelling assumptions to reflect the current performance of the transaction. At the B case, Scope assumed a lifetime recovery rate of 31.3% over a weighted average life of 4.6 years (from its closing value of 39.3% over 5.0 years). By portfolio segment, Scope assumed a secured recovery rate of 74.6% from its closing value of 78.4% and an unsecured recovery rate of 7.8% from 12.7% assumed at closing.

      Sensitivity analysis

      Scope tested the resilience of the rating to deviations in expected recovery rates and recovery timing. This analysis has the sole purpose of illustrating the sensitivity of the rating to input assumptions and is not indicative of expected or likely scenarios.

      The following shows how the results for class A notes would change compared to the assigned rating in the event of:

      • 10% haircut to recoveries, minus three notches;
         
      • a one-year recovery lag increase, minus one notch.

      Stress testing
      Stress testing was performed by applying Credit-Rating-adjusted recovery rate assumptions.

      Cash flow analysis
      Scope Ratings performed a cash flow analysis of the transaction with the use of Scope Ratings’ Cash Flow Structured Finance Expected Loss Model Version 1.2 incorporating the relevant asset assumptions, taking into account the transaction’s main structural features, such as the notes’ priorities of payment, the notes’ size and coupons. The outcome of the analysis is an expected loss rate and an expected weighted average life for the instruments based on the generated cash flows.
